LICENSE AGREEMENT
PROHIBITED DISTRIBUTION AND UNAUTHORIZED USE
Intellectual Property Protection
1.1 The financial models provided by Startup Models (hereinafter referred to as "the Company") are the exclusive intellectual property of the Company. These financial models encompass a wide range of creative works, including software, algorithms, data, calculations, methodologies, reports, charts, graphs, and any associated documentation (collectively referred to as "the Financial Models").
1.2 The Company asserts its rights under intellectual property laws, including copyright laws, to protect the Financial Models and all related materials provided by the Company. As the exclusive owner, the Company has invested significant resources, time, expertise, and financial capital in developing and refining these proprietary Financial Models. The protection of these models is essential to safeguard the competitive advantage and commercial viability of the Company.
1.3 Unauthorized distribution, reproduction, or any other form of dissemination of the Company's Financial Models without the express written permission of the Company is strictly prohibited. The Financial Models are solely intended for internal use by the client and may not be shared, uploaded, downloaded, sold, rented, loaned, or otherwise made available to third parties without proper authorization.
1.4 The Company's rights extend to derivative works, modifications, or adaptations of the Financial Models. Any unauthorized alteration, transformation, or manipulation of the Financial Models, in whole or in part, is strictly prohibited without the express written permission of the Company.
1.5 The Company's copyright and intellectual property rights extend to the Financial Models as a whole, as well as to their individual components and elements. This includes, but is not limited to, the source code, user interfaces, design elements, data structures, algorithms, formulas, and any other elements that contribute to the functionality, structure, or content of the Financial Models.
1.6 The Company reserves the right to incorporate technological protection measures (TPMs) or digital rights management (DRM) mechanisms into the Financial Models to prevent unauthorized access, reproduction, or distribution. Examples of TPMs include encryption, watermarks, access controls, or other security measures. Circumventing these measures or facilitating their circumvention is strictly prohibited and may constitute a violation of applicable laws.
1.7 Nothing in this clause shall be construed as granting any rights, licenses, or permissions to any third party, except as explicitly granted by the Company in writing.
Violation and Consequences
2.1 Any person or entity found to be in violation of this clause by distributing, reproducing, or making unauthorized copies of the Company's financial models shall be held liable for copyright infringement.
2.2 The Company reserves the right to pursue all available legal remedies to protect its rights and interests, including but not limited to:
a. Seeking injunctive relief from a court of competent jurisdiction to prevent further distribution and use of the financial models;
b. Claiming damages, including statutory damages, actual damages, and any profits derived from the unauthorized distribution, reproduction, or use of the financial models;
c. Requiring the surrender or destruction of all unauthorized copies of the financial models in the possession or control of the infringing party; and
d. Seeking reimbursement for any legal costs, expenses, and attorney fees incurred in enforcing its rights.
2.3 The provisions of this clause shall be in addition to any other legal rights or remedies available to the Company under applicable laws or regulations.
Binding Nature
3.1 This clause shall be binding upon all parties, including but not limited to employees, contractors, agents, distributors, resellers, and any other individuals or entities with access to the Company's financial models.
